- We may request identity, payment, tax or business verification where reasonably required.
5. Our role as marketplace operator
We provide technology that allows sellers to list digital products and buyers to discover, purchase
and download them. Unless a product is expressly identified as sold directly by us, the seller is
responsible for the product’s content, quality, description, support commitments, legality and
intellectual-property rights.
We may review, approve, reject, suspend, remove, promote, categorise or modify the display of listings
to protect customers, maintain quality, comply with law or operate the marketplace effectively.
Approval of a listing does not constitute endorsement or a guarantee.
6. Digital products and product information
Digital products are supplied electronically. Product descriptions, screenshots, previews,
compatibility details, documentation, update history and support terms form part of the listing.
Buyers must review these details before purchasing.
- Product previews may be compressed, watermarked, limited or representative.
- System requirements and third-party dependencies may change over time.
- Unless stated otherwise, source files, editable assets, installation, customisation and support are not automatically included.
- Product updates may be provided, changed or discontinued according to the listing and applicable licence.
- A product purchase normally grants a licence; it does not transfer copyright or ownership.
7. Product licences and permitted use
Each product is licensed under the licence displayed on its product page or included with its files.
Where no separate licence is displayed, the following standard rules apply.
| Permitted | Not permitted without written approval |
|---|---|
| Use the product for the number of projects or installations allowed by the purchased licence. | Resell, redistribute, sublicense, share or make the original product files available to others. |
| Modify the product for an authorised end project, subject to third-party licence restrictions. | Claim ownership of the original product, remove ownership notices or register the product as your own. |
| Create an end product for yourself or a client where the licence permits client work. | Use one licence for multiple unrelated clients, websites, applications or end products where a separate licence is required. |
| Keep reasonable backup copies for authorised use. | Upload files to public repositories, file-sharing sites, shared drives or source-code marketplaces. |
Open-source and third-party components remain subject to their own licences. In the event of a conflict,
the applicable open-source or third-party licence governs that component.
8. Orders, prices and payments
- Prices are displayed in the currency shown on the product or checkout page.
- We may correct obvious pricing, description or technical errors before or after an order.
- An order is complete only after payment is successfully authorised, captured and recorded.

- You authorise the payment provider and us to process the amount, taxes and charges displayed at checkout.
- Payment-provider terms and privacy practices also apply to payment processing.

Payment communications may be sent using or another official
payment address displayed on the checkout page. Never send payment to an address received through an
unverified message.
9. Taxes, invoices and compliance
Prices may exclude or include applicable GST, VAT, sales tax, withholding tax or similar charges as
indicated at checkout. Buyers are responsible for supplying accurate billing and tax information.
Sellers are responsible for their income, business, tax-registration and reporting obligations unless
the marketplace is legally required to collect, withhold or remit an amount. We may deduct legally
required taxes, payment charges, refunds, chargebacks, commissions or adjustments from seller balances.
10. Delivery and downloads
After confirmed payment, downloads are normally delivered through an account, order page, email link
or secure token. Delivery time may be affected by payment review, network failure, maintenance or fraud checks.
- Download links may expire or be limited by time, device, order or number of attempts.
- You must not share download links, tokens or purchased files.
- You should download and securely back up products during the permitted access period.
- We may regenerate a download link after reasonable ownership and payment verification.
- Access may be disabled after a refund, chargeback, licence breach, fraud finding or account suspension.
11. Refunds, cancellations and chargebacks
Because digital products can be downloaded or accessed immediately, purchases are generally final
except where a refund is required by law or permitted under our Refund Policy.
A refund may be considered where:
- the purchased file cannot be downloaded because of a marketplace-side technical failure;
- the product is materially different from its description;
- the product contains a verified critical defect and the seller cannot provide a reasonable remedy;
- the same order was charged more than once; or
- applicable consumer law requires a refund.
A refund will normally not be granted merely because:
- you changed your mind, no longer need the product or purchased by mistake;
- you lack the required software, skill, hosting, device or system compatibility stated in the listing;
- a third-party service, plugin, platform or API changed;
- you refuse reasonable troubleshooting or have modified the product in a way that caused the issue;
- you request functionality not included in the listing; or

12. Seller obligations and marketplace commission
Sellers must:

- ensure files are functional, secure and free from malicious code, hidden advertising, unauthorised tracking and unlawful content;
- maintain reasonable documentation and respond professionally to legitimate customer questions;
- comply with tax, consumer, privacy, export, intellectual-property and product-safety laws;
- keep account, payment and settlement details accurate;
- not manipulate ratings, sales, reviews, traffic or marketplace search results.
Seller earnings are calculated after applicable marketplace commission, payment-processing fees,
refunds, chargebacks, taxes, adjustments and other disclosed deductions. Settlement timing, minimum
balance and verification requirements may be described in the Seller Policy or seller dashboard.
We may temporarily hold seller funds where reasonably necessary to cover refunds, disputes, fraud,
legal obligations, reserve requirements or suspected policy violations.
13. Prohibited products and conduct
You must not upload, sell, buy, request, promote or distribute:
- stolen, pirated, copied or unauthorised products;
- malware, ransomware, spyware, credential stealers, destructive code or unlawful surveillance tools;
- products intended to bypass licences, security controls, payment systems or access restrictions;
- content that infringes copyright, trademark, patent, privacy, publicity or contractual rights;
- fraudulent documents, fake reviews, deceptive marketing assets or impersonation materials;
- illegal, hateful, exploitative, abusive or sexually exploitative content;
- personal data collected, sold or disclosed without a lawful basis;
- products or services prohibited by applicable law, payment-provider rules or our policies.
You must not scrape the marketplace, overload servers, bypass access controls, test vulnerabilities
without written permission, automate fraudulent activity, interfere with other users or use the
marketplace to send spam.
14. Reviews, ratings and communications
Reviews must reflect genuine experience and must not contain confidential information, threats,
harassment, unlawful statements, promotional spam or fabricated claims. Sellers must not buy, trade,
reward or pressure users for misleading reviews.
We may remove or moderate reviews and communications that violate these Terms, but we are not required
to pre-screen all user content. Opinions expressed by users are their own.
15. Intellectual-property rights
The marketplace software, design, branding, databases, documentation and original content owned by us
are protected by applicable intellectual-property laws. Except as expressly permitted, you may not copy,
reproduce, modify, publish, distribute, reverse engineer or commercially exploit them.
Sellers retain ownership of their products and grant us a non-exclusive, worldwide, royalty-free licence
to host, reproduce, display, market, preview, deliver and otherwise use listing materials as necessary to
operate and promote the marketplace.
Rights holders may report suspected infringement to

and evidence of authority. We may remove material and suspend repeat infringers.
16. Privacy and personal information
Our collection and use of personal information are described in our Privacy Policy. By using the
marketplace, you acknowledge that information may be processed to operate accounts, complete payments,
deliver products, prevent fraud, provide support, comply with law and improve services.
Sellers who receive buyer information may use it only for authorised order fulfilment, support, tax or
legal purposes. Sellers must not add buyers to unrelated marketing lists, disclose their information or
use it for independent profiling without a lawful basis and required consent.
17. Security and responsible use
We use reasonable administrative and technical measures, but no internet service is completely secure.
You are responsible for maintaining current software, secure devices, strong passwords and backups.
Security vulnerabilities should be reported privately to

Do not publicly disclose or exploit a suspected vulnerability before we have had a reasonable opportunity
to investigate and address it.
18. Website availability and changes
We may update, suspend, restrict or discontinue any part of the marketplace for maintenance, security,
legal, commercial or technical reasons. We do not guarantee uninterrupted availability, permanent storage
of every listing or compatibility with all devices, browsers or third-party systems.
We may introduce, remove or change features, fees, commissions, categories, product requirements and
technical standards. Material changes affecting existing users will be communicated where reasonably possible.
19. Disclaimers and warranties
To the maximum extent permitted by law, the marketplace and products are provided on an “as available”
and “as is” basis. We do not guarantee that every product will meet your requirements, remain compatible
with future systems, be error-free or produce a particular business or technical result.
Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded. Any express
warranty provided by a seller applies only according to its stated scope and duration.
20. Limitation of liability
To the maximum extent permitted by law, neither the Company nor its directors, employees, contractors,
affiliates or service providers will be liable for indirect, incidental, special, exemplary, punitive or
consequential loss, including loss of profit, revenue, data, goodwill, opportunity or business interruption.
Where liability cannot be excluded, our total aggregate liability relating to a particular transaction
will not exceed the amount actually paid to us for the affected product during the twelve months preceding
the event giving rise to the claim, unless applicable law requires a higher amount.
These limitations do not apply to liability that cannot lawfully be limited, including liability arising
from fraud, wilful misconduct or other mandatory legal obligations.
21. Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless the Company and its personnel
from third-party claims, losses, penalties, costs and reasonable legal expenses arising from your products,
content, account activity, violation of these Terms, infringement of rights or breach of applicable law.
22. Suspension and termination
We may restrict, suspend or terminate access, remove listings, hold settlements or revoke download access
where we reasonably believe there has been fraud, non-payment, chargeback abuse, illegal activity, security
risk, intellectual-property infringement or a material breach of these Terms.
You may stop using the marketplace at any time. Termination does not cancel accrued payment obligations,
refund rights, licence restrictions, confidentiality duties, intellectual-property rights or provisions
intended to survive termination.
23. Changes to these Terms
We may update these Terms to reflect changes in law, payment methods, marketplace features or business
practices. The revised version will display a new “Last updated” date. Continued use after the effective
date constitutes acceptance of the revised Terms, except where further consent is required by law.

Before filing formal proceedings, each party should attempt in good faith to resolve the dispute by
written notice describing the issue, supporting documents and requested resolution. Nothing prevents
either party from seeking urgent injunctive or protective relief where legally available.
Severability and waiver
If any provision is held invalid or unenforceable, it will be limited or removed only to the minimum extent
necessary, and the remaining provisions will continue. Failure to enforce a provision is not a waiver.
Assignment and entire agreement
You may not assign your rights or obligations without our written consent. We may assign these Terms as
part of a merger, restructuring, sale or transfer of the marketplace. These Terms and incorporated policies
form the entire agreement concerning use of the marketplace.
25. Contact information
Questions, legal notices, refund requests and infringement reports should include your name, registered
email address, order or product reference and a clear description of the matter.
